Subscription Agreement
The scope of the Service, pricing, the obligations of the parties and termination conditions.
Note: This text is a template; the trade name, address, MERSIS and competent court details must be completed by your legal counsel before publication. The consent in the application form means acceptance of this agreement.
1. Parties and subject
This agreement governs the terms for the provision of the cloud PBX, business numbers, AI phone assistant and related add-on modules ("Service") between Buluthat ("Provider") and the natural or legal person who submits the subscription application ("Subscriber").
2. Scope of the Service
- The Service is provided through the web panel, PBX infrastructure and mobile/web applications hosted on the Provider's servers in Turkey.
- Package capacities (extensions, numbers, concurrent calls, included minutes) are as stated on the pricing page and in the panel; the Subscriber can change packages at any time.
- Number allocation and porting are subject to the processes of the relevant carrier and BTK; the Provider carries out these processes on the Subscriber's behalf.
3. Pricing and payment
- Prices are announced including ÖİV and KDV; the package fee is monthly and accrues at the start of the period.
- Talk charges are calculated with per-second precision according to the package's tariff; if there are included minutes, they are used first.
- On a prepaid subscription, charges are deducted from the balance; when the balance and credit limit reach zero, outbound calls are stopped. On an invoiced subscription, the period invoice is issued at the start of the month and is due in 7 days.
- For AI modules, a usage (minutes/analysis) fee applies in addition to the monthly fee and is reported per conversation in the panel.
- The Provider notifies price changes at least 30 days in advance via the panel and email.
4. Subscriber's obligations
- Using the Service in compliance with applicable legislation; the consent (ETK, İYS) of people called by auto call and the voice assistant and the protection of their personal data (KVKK) are the Subscriber's responsibility.
- Not using a misleading caller number, and not making calls with spam or unlawful content.
- Protecting the confidentiality of the panel account, API keys and SIP credentials; renewing immediately on suspicion.
- Providing accurate information requested for carrier/BTK obligations such as the line real-user notification.
5. Provider's obligations
- The Service Service Level to deliver in line with the targets on the page; to announce planned maintenance in advance.
- Subscriber data Information Security Policyto protect it in accordance with; to process data only to the extent required by the service.
- Making call recordings and reports available to the Subscriber; deleting them if the Subscriber requests.
6. AI assistant
The Assistant speaks according to the knowledge base and instructions provided by the Subscriber; the Provider does not guarantee the commercial accuracy of the information given by the assistant. System rules prevent the assistant from asking for card, password or ID numbers; the Subscriber cannot change these rules. Assistant conversations are stored as text, and audio is kept only as a PBX recording.
7. Term and termination
- The agreement has no commitment and is monthly; the Subscriber can terminate at period end. The remaining balance is refunded; 30 days are given to download call recordings.
- The Provider may suspend or terminate the service in case of abuse, payment default (30 days on an invoiced subscription) or violation of legislation.
- On termination, numbers are ported to another carrier if the Subscriber requests it.
8. Limit of liability
The Provider's liability is limited to the package fee for the month in which the event occurred. In outages originating from carriers, internet service providers and AI model providers, calls are routed to the fallback destination set by the Subscriber.
9. Disputes
This agreement is subject to Turkish law; the courts and enforcement offices of [city] have jurisdiction over disputes.
